1.Introduction

MonarchyLabs LLC FZ is a company registered as a free-zone entity in Dubai, United Arab Emirates, under License No. 2307441.01, with its registered address at Business Center 1, M Floor, The Meydan Hotel, Nad Al Sheba, Dubai, U.A.E.

These Terms apply to all visitors, users, and clients of our website located at monarchylabs.com (the "Website") and to any software engineering, quality assurance, DevOps, cloud, data, or related services we provide (the "Services"). If you do not agree with any part of these Terms, please do not use the Website or the Services.

2.Definitions

• "Client" means any individual or entity that engages Monarchy Labs to provide Services.
• "Deliverables" means the software, code, documentation, configurations, and other materials produced by us for a Client under an engagement.
• "Proposal" or "Statement of Work" (SOW) means a written document describing the scope, timeline, and fees for a specific engagement.
• "Content" means all text, graphics, logos, and materials available on the Website.

3.Our Services

Monarchy Labs provides technology services including, but not limited to, custom software development, web and mobile product development, quality assurance and test automation, DevOps and cloud infrastructure, data engineering, and managed support and security.

The specific scope of any engagement is defined in a Proposal or Statement of Work agreed in writing between Monarchy Labs and the Client. In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail with respect to that engagement.

4.Engagement & Proposals

An engagement begins once both parties have agreed to a Proposal or SOW in writing (including by email or electronic signature). Estimates provided before a signed SOW are indicative only and do not constitute a binding commitment.

The Client agrees to provide timely access to information, systems, approvals, and personnel reasonably required for us to perform the Services. Delays caused by the Client may affect timelines and costs.

5.Fees & Payment

• Fees, payment schedules, and currency are set out in the applicable Proposal or SOW.
• Unless otherwise stated, invoices are payable within fourteen (14) days of the invoice date.
• Late payments may be subject to suspension of Services and, where permitted by law, interest on overdue amounts.
• All fees are exclusive of applicable taxes, including UAE Value Added Tax (VAT), which will be added where required by law.

6.Intellectual Property

Upon full payment of all applicable fees, ownership of the Deliverables created specifically for the Client under an engagement transfers to the Client, except for any Pre-Existing Materials and Third-Party Materials described below.

Pre-Existing Materials. We retain ownership of tools, frameworks, libraries, know-how, and reusable components that existed prior to, or are developed independently of, the engagement. We grant the Client a non-exclusive, perpetual license to use such materials solely as incorporated into the Deliverables.

Website Content. All Content on the Website is owned by or licensed to Monarchy Labs and may not be copied, reproduced, or redistributed without our prior written consent.

7.Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with an engagement, and to use it only for the purpose of performing or receiving the Services. This obligation survives the termination of any engagement. Confidentiality obligations do not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

8.Warranties & Disclaimers

We warrant that the Services will be performed with reasonable skill and care and in a professional manner consistent with industry standards.

9.Limitation of Liability

To the maximum extent permitted by applicable law:

• Monarchy Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity.
• Our total aggregate liability arising out of or in connection with an engagement shall not exceed the total fees paid by the Client to Monarchy Labs for the Services giving rise to the claim in the three (3) months preceding the event.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

10.Term & Termination

Either party may terminate an engagement as set out in the applicable SOW, or with thirty (30) days' written notice where no term is specified. Either party may terminate immediately if the other commits a material breach that is not remedied within fourteen (14) days of written notice. Upon termination, the Client shall pay for all Services performed and expenses incurred up to the effective date of termination.

11.Third-Party Services

Our Services may involve or rely on third-party platforms, cloud providers, libraries, or APIs. Such third parties are governed by their own terms and policies, and we are not responsible for their availability, performance, or actions. Where third-party licensing costs apply (for example, cloud hosting), these are the responsibility of the Client unless otherwise agreed.

12.Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai, together with the applicable free-zone regulations. The parties agree to submit to the exclusive jurisdiction of the competent courts of Dubai, U.A.E., subject to any dispute-resolution mechanism agreed in a specific SOW.

13.Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the latest changes took effect. Continued use of the Website or Services after changes are posted constitutes acceptance of the revised Terms.
